1. Acceptance of Terms
By accessing and using the services of Hypernetix Pte. Ltd. ("Hypernetix", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Description of Services
Hypernetix provides consulting services and software development in the field of artificial intelligence (AI) platforms and AI-powered applications. Our services include, but are not limited to:
- AI platform development and implementation
- Proof-of-concept implementations
- Research and development services
- Technical consulting and expert guidance
- Custom software development
3. Scope of Work
Each engagement with Hypernetix will be governed by a separate written agreement outlining the specific scope of work, deliverables, timelines, and compensation. The specific terms of each engagement agreement will take precedence over these general Terms of Service.
4. Intellectual Property
Unless otherwise specified in a separate written agreement:
- Open-Source Deliverables: Work products designated as open-source will be released under the Apache License 2.0 or other specified open-source licenses.
- Proprietary Deliverables: Work products designated as proprietary will have all rights assigned to the client as specified in the engagement agreement.
- Pre-existing IP: Hypernetix retains all rights to pre-existing intellectual property, tools, and methodologies used in the delivery of services.
5. Confidentiality
Hypernetix agrees to maintain the confidentiality of all proprietary and confidential information disclosed by clients during the course of an engagement. Confidential information will not be disclosed to third parties without prior written consent, except as required by law.
6. Professional Conduct
Hypernetix commits to:
- Provide services with professional expertise and care
- Communicate openly and honestly with clients
- Meet agreed-upon deadlines and deliverables to the best of our ability
- Maintain ethical standards in all professional interactions
7. Client Responsibilities
Clients agree to:
- Provide timely access to necessary information, systems, and personnel
- Respond to requests for feedback and approvals in a timely manner
- Make payments according to the agreed-upon terms
- Notify Hypernetix promptly of any concerns or issues
8. Limitation of Liability
To the maximum extent permitted by law, Hypernetix shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the use of our services. Our total liability for any claims arising from a service engagement shall not exceed the total fees paid by the client for that specific engagement.
9. Warranties and Disclaimers
Hypernetix provides services on an "as is" basis. While we strive to deliver high-quality work, we make no warranties, express or implied, regarding the performance, accuracy, or reliability of our deliverables, except as specifically stated in individual engagement agreements.
10. Termination
Either party may terminate a service engagement according to the terms specified in the engagement agreement. Upon termination, the client shall pay for all services rendered up to the termination date.
11. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of Singapore. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Singapore.
12. Changes to Terms
Hypernetix reserves the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Continued use of our services after such changes constitutes acceptance of the modified terms.
